Terms of Service

These Terms govern your access to and use of TeamLayer (the "Service"), operated by Szymon Bodych OMERNET, Pomorska 11, 05-820 Piastów, Poland, VAT ID: PL5342310551 ("we", "us"). By creating a team, accepting an invitation or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a company, you confirm you are authorised to bind it.
1. Definitions
- "Service" - the TeamLayer application, delivered as a hosted service on a per-team subdomain, together with the desktop and mobile applications.
- "Team" - a separate workspace with its own data, created for an organisation or a group of users.
- "Administrator" - the user who manages a Team, invites members and assigns roles.
- "User" - any person using the Service, whether an Administrator or a member.
- "Content" - everything Users put into the Service: messages, tasks, documents, files, attachments and comments.
2. Contract and account
The contract is concluded when you create a Team or accept an invitation to one. You need an account to use the Service: a name, an email address and a password, or a sign-in through a Team that already exists.
You are responsible for keeping your credentials confidential and for everything done from your account. Tell us immediately if you suspect unauthorised access. Accounts are personal - do not share one account between several people.
You must be at least 16 years old to use the Service.
3. Teams, roles and administration
A Team is managed by its Administrators. An Administrator can invite and remove members, assign roles, create and delete channels, and read Content in the Team according to the permissions the Service provides.
This matters for your privacy: if you join a Team, its Administrator controls that workspace. Content you create there is available to the Team, not only to you, and remains with the Team after you leave it.
Where a Team allows self-registration for an email domain, anyone with an address in that domain can join it without an invitation. It is the Administrator who turns that on.
4. Plans, trial and payment
The Service is offered under paid subscription plans, with the price and limits shown on the pricing page at the time of purchase. A trial period may be offered; unless we state otherwise, it converts into a paid subscription when it ends.
Payments are handled by our payment processor, Stripe. We do not receive or store your full card number. Subscriptions renew automatically for further periods until cancelled. Prices are shown net of VAT unless stated otherwise; VAT is added where required by law.
Fees already paid for a started billing period are not refunded on a pro-rata basis, except where the law requires it or where we fail to provide the Service through our fault.
5. Cancellation, termination and account deletion
You may cancel a subscription at any time with effect from the end of the current billing period. Your Team keeps working until then.
How to delete your account. You may delete your account at any time, free of charge, and you do not need us to do it: in the app open Account settings and choose Delete account. Access ends at once and your personal data is erased after 30 days, so a mistake can still be undone within that window. If you can no longer sign in, send the request from the email address linked to the account to hello@teamlayer.io, or use the contact form at https://www.teamlayer.io/contact, with "Delete my account" as the subject; we confirm that we received it, delete the account within 30 days and let you know once it is done. What deletion covers. Deleting your account removes your sign-in data and profile: name, email address, password, avatar, profile fields, active sessions and push notification tokens. It does not delete Content you created in a Team - messages, tasks and files stay with the Team, because they belong to the Team's workspace. Billing documents are kept for as long as accounting law requires. Retention periods are described in the Privacy Policy.
An Administrator can also deactivate your access to a Team. If you are the Team owner and want the whole Team removed, say so in the request: we then delete the Team together with its entire history, on the terms set out in the Privacy Policy.
We may suspend or terminate access if you seriously or repeatedly breach these Terms, if required by law, or if your payment fails and remains unpaid after we have asked you to settle it. Except where a breach requires immediate action, we will contact you first and give you a reasonable chance to fix the problem.
6. Acceptable use
You may not use the Service to: - break the law, or infringe anyone's rights, including intellectual property and privacy rights; - send spam, malware, or content that is unlawful, threatening or abusive; - gain unauthorised access to the Service, other Teams or other Users' data, or test its security without our written consent; - overload the Service, bypass its limits, or use it to build a competing product by copying it; - resell or sublicense access to the Service without our agreement.
7. Your Content and ownership
Your Content stays yours. We do not claim ownership of it and we do not use it to train artificial intelligence models.
To provide the Service we need a limited licence to your Content: the right to store, copy, transmit and display it, solely to run the Service for you and your Team, to make backups and to provide support. That licence ends when the Content is deleted, except for copies in backups until they expire.
The Service itself - its software, design and trademarks - remains ours. These Terms do not transfer any of those rights to you.
8. Availability and support
We aim to keep the Service continuously available, but we do not promise it will be uninterrupted or error-free. Maintenance, updates and failures may cause downtime. Where planned work is likely to be disruptive, we will try to carry it out outside typical working hours.
We do not currently offer a separate service level agreement (SLA). Support is provided by email at hello@teamlayer.io, on business days, and we aim to reply within two business days.
9. Liability
The Service is provided as it is. To the extent permitted by law, we are not liable for lost profits, lost data caused by circumstances beyond our control, or indirect damage. Our total liability arising out of the Service in any twelve-month period is limited to the fees you paid us for that period.
These limits do not apply to damage caused intentionally or by gross negligence, to harm to life or health, or to any liability that cannot be limited under applicable law - including the rights of consumers.
You are responsible for what you and your Team put into the Service, and for having the right to put it there.
10. Complaints
If something does not work as it should, write to hello@teamlayer.io. Describe the problem, when it happened and the account or Team it concerns.
We will consider the complaint and reply within 14 days of receiving it. If we need more information from you, we will ask for it and the period runs from your answer.
11. Integrations and AI assistants
The Service exposes an API and the MCP standard, which let you connect external tools and AI assistants to your Team's content.
- Access to the API and to MCP integrations is covered by the price of your Team's plan and requires no additional fee.
- Connecting an integration is your decision. You are responsible for the choice of tool, for the scope of permissions you grant it and for the effects of its actions on your account. Operations performed by an integration are treated as performed by you.
- Using an external tool is subject to the terms and policy of its provider. We are not a party to that agreement and we are not responsible for the availability, quality or content generated by such a model.
- Output produced by an AI assistant may be incorrect. Verify it before making decisions based on it.
- We may apply limits on the number of requests, the size of uploaded files and the number of active tokens in order to protect the stability of the Service. Current limits are published in our documentation.
- We may block a specific token or integration if it threatens the security or stability of the Service. Where possible, we will notify you in advance.
- You can revoke an integration's access at any time: a user on the AI assistants page, a Team administrator in the Team's integration settings.
12. Changes to these Terms
We may change these Terms, for example when the Service changes, or when the law or our processors require it. We will publish the new version on this page with a new version number and date.
We will notify Administrators of material changes by email at least 14 days before they take effect. If you do not accept the change, you may cancel your subscription before it takes effect; continuing to use the Service afterwards means you accept the new version.
13. Governing law and disputes
These Terms are governed by Polish law. Any dispute will be resolved by the court having jurisdiction over our registered seat, unless mandatory law - in particular consumer protection law - provides otherwise.
Nothing here limits the rights that mandatory law gives you as a consumer, if you use the Service as one.
